Profoundly Kickoff Content Usage Agreement
We're excited to have you join us for the Profoundly Kickoff Event on March 6, 2025 (the “Event”). Since we'll be recording the sessions to share the valuable insights with those who couldn't attend, we wanted to clarify a few things.
By participating in the Event, you're giving Profoundly, Inc. (“Profoundly”) permission to record, reproduce, edit, distribute, display or otherwise use your name, image, likeness, voice, statements, presentation materials, and participation in the vent (the “Content”) in any format or medium including, but not limited to:
- Public and provident broadcasts, live or recorded
- Online platforms, including websites, social media, and streaming services
- Marketing and promotion materials
- Training, education, and commercial materials
Profoundly shall own all rights, title, interest in and to any recordings or materials in connection with the Event. You further acknowledge that participation is voluntary and does not entitle you to compensation, royalties or other financial benefits. You release and discharge Profoundly from any claims, demands, or liabilities related to the use of the Content, including, but not limited to, claims of defamation, rights of publicity or privacy, or misrepresentation.
If you are a presenter or provide materials (e.g., slides, documents, etc.; collectively, the “Materials”)) that are used at the Event, you represent that: (i) you own or have the necessary rights to grant Profoundly permission to use the Materials, and (ii) the Materials do not infringe upon any third-party intellectual property rights. Please see the attached “Event Presenter Terms and Conditions” for further terms regarding your participation at the Event.
Of course, you're welcome to share your expertise and ideas from your session in your own work and platforms too! This is all about spreading knowledge and creating value together.

EVENT PRESENTER TERMS AND CONDITIONS
By participating in Event, including but not limited to presenting, asking questions, or appearing on video/audio, you agree to the following terms:
1. Applicability
These Event Presenter Terms and Conditions (these “Terms”) shall apply to participation at the Event. Terms not otherwise defined herein shall have the meaning prescribed to them in the attached Kickoff Letter.
2. Grant of Rights
Each presenter shall grant Profoundly, Inc. (“Profoundly”) and its affiliates, partners, successors, and assigns the irrevocable, royalty-free, worldwide right to record, reproduce, edit, distribute, display, and otherwise use your name, image, likeness, voice, statements, presentation materials, and participation in the event (the “Content”) in any format or medium, including but not limited to:
- Public and private broadcasts, live or recorded
- Online platforms, including websites, social media, and streaming services
- Marketing and promotional materials
- Training, educational, and commercial materials
3. Ownership & Usage
Profoundly shall own all rights, title, and interest in and to any recordings or materials created in connection with the event. You acknowledge that Profoundly may use the Content at its discretion, including modifying, reproducing, and sublicensing it without further approval from you.
4. No Compensation
Each presenter’s participation is voluntary and does not entitle such presenter to compensation, royalties, or any other financial benefits.
5. Release & Waiver
Each presenter releases and discharges Profoundly from any claims, demands, or liabilities related to the use of the Content, including but not limited to claims of defamation, rights of publicity or privacy, or misrepresentation.
6. Representations & Warranties
If a presenter provides Materials, such presenter shall: (i) own or have the necessary rights to grant Profoundly permission to use the Materials; and (ii) the Materials shall not infringe upon any third-party intellectual property rights.
7. Miscellaneous
This agreement shall be governed by the laws of the State of Ohio, and any disputes shall be resolved in the state and federal courts located in Cuyahoga County, Ohio.
By participating in the event, you acknowledge that you have read, understood, and agreed to the terms above.
